Illustrative situation
A factory sends a proforma invoice for a first custom boxer brief order and asks for a deposit. The buyer sees a total, a bank account and a few lines of terms, and wants to be sure nothing important is missing before paying.
Main answer
A proforma invoice is the seller’s offer set out in invoice form, and it is the document your payment will refer to. Before paying, check the parties, the quantity by style, colour and size, the unit price and currency, the trade term, the payment milestones, the validity date and the bank details. Anything that is not on it is not agreed.
The lines worth checking
Parties. Seller and buyer names and addresses, matching the quotation. Items. Style, fabric, colour and quantity by size, plus any decoration, labels and packing. Price. Unit price, currency and total, and what the price includes. Trade term. FOB, EXW or another term, which determines who arranges and pays for transport and where risk passes. Payment terms. The deposit, the balance and what each is tied to. Validity. The date until which the price holds.
Why the trade term needs attention
Incoterms describe the delivery obligations of buyer and seller, and the U.S. International Trade Administration explains that the chosen term affects costs, risk and responsibilities. Two quotations that look equal can differ because one is FOB and another is delivered, so confirm the term, the named place and the version, such as Incoterms 2020.
Tie payments to milestones
Cash in advance is lowest-risk for the seller, which is why factories ask for deposits. Make the deposit and balance conditional on stated events, for example sample approval and a pre-shipment check, and state what happens if goods are late or fail inspection. Verify the bank account holder matches the seller.
Common gaps in a proforma invoice
Look for what is missing as well as what is present: the size ratio, the packing method, label wording, the colour reference, and the sample approval requirement. Look for a total that includes or excludes freight without saying which. Also check the validity date against your decision timeline, since a price may change if you pay late, and ask what happens to the price if fabric costs move before you approve.

After you receive it
Compare it with the quotation line by line, ask for corrections in writing and a revised invoice, and file the final version. A proforma invoice is not a customs document, and the commercial invoice used for shipment is separate.
Fact, recommendation, uncertainty
- Established fact
- Trade.gov describes cash in advance as the lowest-risk payment method for the seller, and explains that Incoterms define who arranges transport and bears risk.
- Recommendation
- Check parties, items, price basis, trade term, milestones, validity and bank holder, and get corrections in a revised invoice.
- Uncertainty
- A proforma invoice has no single mandatory format, so which lines appear depends on the supplier.

Sino Finetex Editorial Team Sourcing
Compare proforma invoices from different suppliers on the same price basis, and ask for the trade term and named place to be explicit. Limit: a lower total with a worse trade term can cost more after freight and duties. Ask the supplier to state the currency and who bears bank charges, which are small lines that can surprise a first-time buyer.
Sino Finetex Editorial Team Product selection
Check that the invoice lists every style, colour and size ratio as agreed, and that labels and packing are included if you expect them. Limit: items not listed may be extra cost or may not be delivered at all. Make sure the colour and fabric references on the invoice match the approved sample, not a different earlier version.
Sino Finetex Editorial Team Quality & care
Add the inspection and acceptance criteria to the invoice or a linked document, and the remedy if goods fail. Limit: a milestone that says only ’balance before shipment’ leaves quality unspecified. Ask that the inspection method and accept or reject criteria appear in the same document as the price.
